PURPOSE #
New Council members will be required to participate in an orientation program to familiarize
themselves on the organization, its mandate, mission, strategic plan, and operations, as well as the
roles and responsibilities of the board and expectations of individual board members. In addition to
this, ongoing or formal training, education, and information will be provided to board members on
items such as board governance, changes to operations, changes in business environment, and
stakeholder needs.
POLICY
- In September each year, new Council directors will be required to participate in an orientation session prior to the commencement of the annual board/management planning meeting. In
addition to new Council directors, existing directors will also be invited to participate as a refresher to update themselves.
- Following the basis of the Council’s board of directors governance manual, the orientation session will be conducted by the Chair of the board and the President and CEO and will include a review of the Council’s mandate, organizational chart, overview of operations, strategic plan, articles of incorporation and by-laws, board responsibilities, President and CEO’s
accountability, board governance guidelines, director conflict, code of conduct and confidentiality agreement, board committees terms of reference, board policies, Co-op Council’s insurance policies in effect.
- The Board Governance Committee will identify specific issues following the September board/management planning session that are appropriate and will be dealt with at future board
meetings based on current circumstances and available resources. Each director will be asked to provide input into identifying such specific issues based on their personal interest or need.
4) Based on more immediate necessity and circumstances, on topics not considered previously, the board may elect to hold short training sessions during regularly scheduled board meetings
with appropriate persons. Any director who has a personal interest in such training must provide ample notice to the Chair and/or President and CEO of their interest or intention
